1. Services and Products

Ahopez Innovations offers the following services and products:

• Services: We provide custom software development, including web design, web app development, and mobile app development. We also offer bulk SMS services and WhatsApp chatbot creation. All custom services are delivered on a project-by-project basis, with specific details, scope, and deliverables outlined in a separate project proposal or Statement of Work (SOW).
• Products: We offer pre-built software products, including:
  • Edutoolz - A College and School ERP Software.
  • Restoolz - A Billing Software.
  The use of these products is subject to the terms and conditions specific to each product, which are available on their respective websites (www.edutoolz.com and restoolz.ahopez.in).

2. Payment and Fees

Payment for our services and products will be based on the pricing and payment schedule outlined in your specific project proposal, invoice, or the product's subscription plan. We reserve the right to require an initial deposit or advance payment before commencing any work. All fees are non-refundable unless otherwise stated in a written agreement.

3. Intellectual Property

Unless a separate written agreement states otherwise, all intellectual property rights for the deliverables created for a custom project will be transferred to the Client upon receipt of full payment. Ahopez Innovations retains the right to display the completed work in our portfolio and marketing materials. All intellectual property rights for our products, including but not limited to Edutoolz and Restoolz, belong to Ahopez Innovations. Your use of these products is a license, not a transfer of ownership.

4. Client Responsibilities

The Client agrees to:

• Provide all necessary information, content, and materials required for the project in a timely manner.
• Review and approve deliverables and milestones as outlined in the project schedule.
• Ensure that all content provided to Ahopez Innovations, including text, images, and other media, does not infringe upon the intellectual property rights of any third party. The Client assumes full responsibility for any legal claims that may arise from the use of such content.

5. Confidentiality

We agree to treat all information you provide to us as confidential. We will take reasonable steps to protect your confidential information and use it solely for the purpose of providing our services to you. This obligation does not apply to information that is publicly known or that we receive from a third party without a confidentiality restriction.

6. Termination of Services

Either party may terminate a project or engagement with reasonable notice. In the event of termination, the Client is responsible for all outstanding payments for work completed up to the date of termination.

7. Limitation of Liability and Disclaimer

While we strive to deliver high-quality work, Ahopez Innovations cannot guarantee the success of any project or the achievement of specific business outcomes. Our services and products are provided "as is" and "as available," without any warranties of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

In no event shall Ahopez Innovations be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business, arising out of or in connection with these Terms or your use of our services or products. Our total liability to you for any and all claims shall not exceed the amount of fees paid by you to Ahopez Innovations for the specific service or product from which the claim arose.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts located in our jurisdiction.

9. Changes to Terms

Ahopez Innovations reserves the right to update or amend these Terms at any time. It is your responsibility to review them periodically. Your continued use of our services or products after any modifications to these Terms constitutes your acceptance of the changes.
